Wafaa Program Terms and Conditions
Effective date: 15 April 2025
Welcome to the Wafaa Program (“Program”). By participating in the Program, you agree to the following terms and conditions (“Terms”). These Terms are subject, and in addition, to ToYou’s Terms and Conditions of Use and Privacy Policy (the “General Terms and Conditions”). In case of any conflict, ToYou’s General Terms and Conditions will prevail. Any terms not expressly defined in these Terms shall have the meanings given to them in the ToYou’s General Terms and Conditions.
1. Participation
1.1 The Program is offered at the sole discretion of ToYou who may interrupt it any time.
1.2 The Program is open to all registered ToYou users (“Member(s)”) for their personal use only and is limited to one account per individual. Membership is not available for use by Members under the age of majority in Saudi Arabia. Members may not authorise third parties to use the Program. Members agree to comply at all times with all applicable Saudi laws and regulations when using the Program, and Members may only use the Program for lawful purposes.
1.3 Subject to (1.4) below, Membership is automatic upon account creation. Upon enrollment, each Member is assigned a tier level (“Tier”) based on their activity and points earned through eligible orders, as determined solely by ToYou. The Tiers will be available and visible on the Application.
1.4 ToYou reserves the right to approve or deny membership of any member at its sole discretion.
1.5 Members can earn points on completed eligible orders placed on the Application and/or by taking other Program related actions as specified and determined from time to time by ToYou at its sole discretion, The number of points earned is calculated based on the total completed eligible order amount. Members will not earn points for eligible orders made prior to Program enrollment.
1.6 ToYou shall determine, from time to time, in its sole discretion, which products and/or services and/or actions are eligible for inclusion in, and/or exclusion from, the Program.
1.7 Points and benefits have no cash value, and cannot be transferred or redeemed for cash. Members have no property rights in, or to, points or other Program benefits. The sale, barter, transfer, or assignment of any rewards, benefits and/or points offered through the Program, other than by ToYou, is expressly prohibited.
1.8 Points credited to Members’ Program account may be decreased or reversed, as applicable, if part or all of the order is cancelled or returned. Furthermore, if the credit is obtained through misuse, abuse, hacking, fraud or other activity that violates these Terms, the ToYou’s Terms and Conditions of Use, applicable laws and regulations and/or generally the intent of the Program, ToYou reserves the right to cancel those points, reclaim redeemed rewards, suspend, revoke, or terminate membership and take legal action if necessary.
1.9 ToYou may suspend or terminate a Member’s participation in the Program if they violate these Terms and/or the Terms and Conditions of Use, and/or applicable laws and regulations or engage in fraudulent activity including any misuse, abuse, hacking, or similar activity. Points and benefits may be automatically forfeited in such cases.
1.10 Notwithstanding anything to the contrary in these Terms or any other terms, including the General Terms and Conditions, ToYou is not liable for any losses arising from participation in the Program, including but not limited to expired points, unredeemed rewards, or program changes.
1.11 By participating in the Program, Members agree to indemnify, defend, and hold harmless ToYou, its affiliates, officers, directors, and employees from any claims, damages, or losses arising from or related to their participation in the Program, including but not limited to fraudulent activity or violation of these terms or the ToYou’s General Terms and Conditions and/or applicable laws and regulations.
1.12 ToYou makes no guarantees regarding the uninterrupted availability of the Program, the ability to earn or redeem points, or the continued existence of specific rewards and/or benefits.
1.13 The Program is provided "as is" and "as available" without any warranties of any kind, whether express or implied.
2. How the Program works
2.1 Members may earn points and unlock Program wafaa Tiers by making eligible orders on the Application and/or taking specific Program related actions as specified and determined from time to time by ToYou at its sole discretion. Members will receive points on eligible completed orders and the number of points will depend on the merchant with whom the completed eligible order was made. Each merchant has its own reward of points per SAR 1 spent on an eligible completed order with that merchant.
2.2 The Program is a tier-based program determined by the number of accumulated points during a specific period of time. There are 4 tiers with associated benefits: Tier Blue; Tier Gold; Tier Platinum; and Tier Black.
2.3 Upon Program enrollment, Members will automatically be placed in Tier Blue. Once Members accumulate the required number of points for each of the four Tiers, as determined and specified by ToYou at its sole discretion and within the designated time limits, they will qualify for an upgrade to the next Tier. Each Tier has a predefined point threshold and an expiry date.
2.4 Once Members have accumulated points and/or unlocked a certain wafaa Tier, they may be eligible for certain benefits and/or rewards applicable to that Tier, which benefits and/or rewards may change from time to time and may be offered on a limited basis.
3. Earning Points and Program Rewards
3.1 Points are earned by completing, in compliance with these Terms, eligible delivery orders and/or taking Program related actions as specified determined by ToYou, from time to time, in its sole discretion. As mentioned under (2.1) the number of points earned depends on the merchant’s specific settings. Each merchant defines how many points are awarded per 1 SAR spent, and some merchants may offer no points for eligible orders.
3.2 Higher Tiers provide additional benefits, such as a points multiplier that increases the number of points earned per eligible order. The specific multiplier for each Tier is displayed in the Program section of the Application and may change, at ToYou’s discretion at any time.
3.3 Certain products and/or services may be excluded, at any time, from earning points at the sole discretion of ToYou. Digital products are excluded from, and not eligible, for the Program.
3.4 Points have a limited validity period that varies by Tier. Each points transaction is assigned an expiration date based on the Member’s active Tier at the time of earning. The expiration date of the points earned will depend and be calculated based on the expiration date of the Tier in which the points were earned and not the expiration date of the Tier in which the Member is placed. A Member’s Tier will be re-evaluated based on the total points earned within the applicable Tier during the six months (or any other period determined by ToYou in its sole discretion) preceding the Tier’s expiry date. The Member may retain their current Tier or be downgraded to a lower Tier based on their activity in the said applicable Tier at the sole discretion of ToYou.
3.5 All unused points will expire and be forfeited on the expiry date specified for each Tier in which such points were earned. On the expiry date, Member points will be reset to zero and Member may start accumulating again new points and earning new point rewards. Expired points will be removed from the Member’s account automatically.
3.6 To redeem points, Member must have accumulated the minimum number of points as established by ToYou.
3.7 Points can be redeemed for ToYou Wallet balance using predefined bundles shown in the Application. Redemption is subject to the following cumulative conditions:
- The redemption rate (e.g., 1 SAR = X points) and available bundles are displayed in the Program section.
- Members must meet the minimum points threshold for the smallest bundle to redeem points.
- Some bundles may include bonus value for the redeemed points.
3.8 Once the Member has redeemed Member’s point reward, Member’s points balance will be reduced by the applicable points value for that reward. Member must redeem Member’s available points on, or prior to, the expiry date of the relevant Tier.
3.9 Only the Member paying for the eligible completed order(s) may accumulate r points. Neither Program accounts nor Program rewards, benefits and/or points may be transferred, shared or combined. ToYou reserves the right to monitor the number of accounts per Member and refuse, merge or close additional or duplicate accounts at any time. Member’s account information (including security details) is confidential and should not be shared by Member with any other person.
3.10 Rewards and/or benefits cannot be exchanged or returned for points, another product, service or a monetary refund.
3.11 Notwithstanding anything to the contrary in these Terms or any other terms including the General Terms and Conditions, rewards and/or benefits are subject to availability, and ToYou does not guarantee their continued availability.
4. Program Changes
4.1 Members are responsible for staying informed of the Terms, and continued participation in the Program constitutes acceptance of any modifications.
4.2 ToYou reserves the right to cancel, modify, restrict or terminate these Terms and/or the Program at any time, including any aspect or feature of the Program, Tiers, benefits, rewards, points earning and redemption rules, and/or do any act with respect to the Program or any part thereof, including withdrawing or changing membership criteria, changing the value and/or validity of the points, at any time without any liability on ToYou. Members acknowledge and agree that any of the foregoing acts may diminish the redemption of the points already earned by the Members and may affect the value of rewards or benefits already accumulated or earned and/or the ability to redeem accumulated rewards or benefits, and Members shall not claim compensation.
4.3 ToYou reserve its right, at its sole discretion, to change the Program benefits and/or rewards, how Members reach each Tier, to decide how to unlock each Tier, how Members ears points and how ToYou evaluates and rewards Members’ eligible orders and/or other Program activity. ToYou reserve its right, at its sole discretion, to place limits on the number of orders or activities that are eligible for the Program and/or for any given Tier, the number or types of rewards or benefits Member may receive or earn within any given Tier or at any given point level, in a given time period or for the duration of the Program, and/or any combination thereof.
4.4 ToYou may terminate the Program, in whole or in part, at its discretion, at no liability whatsoever. In such cases, any unredeemed points will be forfeited, and ToYou assumes no further liability or obligation.
4.5 ToYou reserves the right to audit Member’s membership account at any time, in ToYou sole discretion. Any suspected abuse of the Program, failure to follow any sections of these Terms, illegal activity, fraud, misrepresentation or other conduct which ToYou considers to be inconsistent with these Terms and/or detrimental to ToYou or ToYou’s interests, including without limitation, any suspected illegal, fraudulent other unauthorized use of any Program rewards, points, credits, benefits may result in the revocation of Member’s participation and make Member ineligible for further participation in the Program.
5. Governing Law and Arbitration
5.1 These Terms (including any non-contractual obligations arising out of or in connection with or relating to the Terms and/or Program) shall be exclusively governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia.
5.2 Any dispute arising out of or in connection with these Terms (including a dispute relating to any non-contractual obligations arising out of or in connection with or relating to the Terms and/or Program) shall be resolved amicably through amicable negotiation. If the dispute cannot be settled amicably within sixty (60) days from the date on which either has served written notice on the other of the dispute, User and ToYou have agreed that any dispute arising out of or in connection with or relating to the Program or these Terms (including those relating to its validity, its construction or its enforceability) shall be first mandatorily submitted to mediation proceedings under the Saudi Center for Commercial Arbitration (“Center”).
5.3 If such dispute has not been settled within sixty (60) days after a request for mediation has been submitted to the Center, User and ToYou have agreed to refer such dispute to and shall be exclusively and finally resolved by arbitration under the Center rules of arbitration.
5.4 User and ToYou have agreed that the dispute shall be resolved by one (1) arbitrator to be appointed in accordance with the Center rules, and the place of both mediation and arbitration shall be Riyadh, Saudi Arabia, and the language of the mediation and/or arbitration shall be Arabic.
5.5 User and ToYou have agreed that the existence and content of the mediation and arbitration proceedings, including documents and briefs submitted by the parties, correspondence from and to the Center, correspondence from the mediator, and correspondence, orders and awards issued by the sole arbitrator, shall remain strictly confidential and shall not be disclosed to any third party without the express written consent from the other party unless: (i) the disclosure to the third party is reasonably required in the context of conducting the mediation or arbitration proceedings; and (ii) the third party agrees unconditionally in writing to be bound by the confidentiality obligation stipulated herein.
