Welcome to ToYou’s referral program (“Referral Program”). By participating in the Referral Program, you agree to the following terms and conditions (“Referral Terms”) and to comply with them and be bound by them. These Referral Terms are subject to, and are in addition to, ToYou’s General Terms and Conditions of Use and Privacy Policy. In case of any conflict, the General Terms and Conditions of Use and Privacy Policy will prevail. If you do not agree to the Referral Terms, please do not participate in the Referral Program.

1. Participation

1.1 The Referral Program is offered at the sole discretion of ToYou, who may modify, suspend, or terminate it at its sole discretion, for any reason and at any time.

1.2 The Referral Program is available only to registered ToYou users, of legal age and residing in the Kingdom of Saudi Arabia, who have an active ToYou account in good standing for their personal use only ( “Owners”).

1.3 To participate, Owners must obtain their unique referral link from the ToYou application (the “Application”) and share their unique referral link with new users (“Referred Users”).

A “Referred User” is someone who:

• installs the Application if the Application has not been installed (using the referral link only);
• has not placed any orders through ToYou before. For the avoidance of any doubt, users with completed orders are not eligible to be referred;
• completes their first order on the Application; and,
• the first order meets the minimum order value requirement as displayed in the Application at the time of ordering.

2. Referral Rewards

2.1 Referred User Reward: Upon meeting the cumulative referral conditions (set out under section 1.3), the Referred User will receive a reward credited to their ToYou wallet and the reward amount is displayed at the time the referral link is opened but will only be received by the Referred User if all the cumulative referral conditions under Section 1.3 are met, all subject to these Referral Terms. The reward amount is determined by ToYou and may change from time to time at its sole discretion.

2.2 Owner Reward: Once the Referred User completes their first eligible order (and meets all the conditions set out under Section 1.3), the Owner will receive a reward credited to their ToYou wallet and the reward amount is displayed at the time the referral link is opened but will only be received by the Referred User if all the cumulative referral conditions under Section 1.3 are met, all subject to these Referral Terms. The reward amount is determined by ToYou and may change from time to time at its sole discretion.

2.3 All rewards: Rewards for both the Owner and the Referred User are:

• non-transferable;
• cannot be exchanged for cash or other value;
• have no monetary value outside of the ToYou platform; and
• can be used only for eligible purchases within the Application.

3. Restrictions and Limitations

3.1 Each Owner may refer multiple users, unless otherwise restricted in the Application, at ToYou’s sole discretion.

3.2 Referral rewards will not be issued to the Owner or the Referred User, if:

• the Referred User fails to meet the cumulative eligibility criteria (as set out under section 1.3 above); or,
• the first order is canceled or does not meet the minimum order value; or,
• the referral activity appears suspicious or violates these Referral Terms or ToYou’s General Terms and Conditions of Use and Privacy Policy; or,
• the Owner or the Referred User undertakes, or is suspected of undertaking, any of the activities outlined in Sections 3.4 and 4.4 below.

3.3 An Owner will only earn the Owner Reward if the Referred User joins the Application through the said Owner’s referral link (and meets all other cumulative conditions as set out under Section 1.3). If the referral User uses another referral link, the said Owner will not receive the reward amount.

3.4 The Owner must not create multiple accounts, use fake or misleading identities, or attempt self-invitations or self-referrals by any means. ToYou reserves the right, at its sole discretion, to disqualify, suspend or terminate any user account and/or revoke any and all related rewards found to be linked to misuse, abuse, or fraudulent activity. Notwithstanding anything to the contrary, ToYou reserves the right to withhold or remove rewards in cases of actual or suspected fraud, abuse, or any violation of these Referral Terms or ToYou’s General Terms and Conditions of Use and Privacy Policy.

4. Program Changes

4.1 ToYou reserves the right, at its sole discretion, to modify the minimum order value, reward amounts, eligibility criteria and/or any other aspect of the Referral Program at any time, and for any reason, with or without prior notice.

4.2 Your continued participation in the Referral Program following any such changes constitutes your full acceptance of the revised terms.

4.3 ToYou reserves the right, at its full discretion, to audit referral activity at any time. Any user found to be engaged in fraudulent, abusive, or otherwise harmful activity or conduct may have their account suspended or terminated and any rewards granted may be withheld, revoked or cancelled.

4.4 ToYou may terminate the Referral Program, in whole or in part, at any time and for any reason.

5. Indemnity and Limitation of Liability

5.1. The unique referral link and the Referral Program as well as any related accounts and any information, features, functions and/or services are provided on an “as is” and “as available” basis.

5.2 To the full extent permitted by applicable law, ToYou and any of its affiliates, and their officers, directors, employees, agents, members, managers, shareholders and representatives, shall not be held liable to any person for any direct, indirect, incidental, special, punitive or consequential damages losses, or claims arising out of, or in connection with, an Owner or Referred User (or any other user) participation in the Referral Program, including without limitation, any modifications, suspensions, or terminations of the Referral Program or any related rewards.

5.3 The Owner and/or Referred User will indemnify, defend and hold ToYou (and any of its affiliates, and their officers, directors, employees, agents, members, managers, shareholders and representatives) harmless, at their expense, against any third-party claim, suit, action, or proceeding brought against ToYou (and any of its affiliates, and their officers, directors, employees, agents, members, managers, shareholders and representatives) by a third party not affiliated with ToYou to the extent that such action is based upon or arises out of (a) their participation in the Referral Program, (b) use of the data they provided to ToYou, (c) their non-compliance, or non-fulfilment or breach of any covenant under these Referral Terms.

5.4 All decisions made by ToYou with respect to the Referral Program, its interpretation, and the administration of rewards are final and binding on all participants.

6. Personal Data

You consent to the collection, use and disclosure of your personal data to and by ToYou, to any third party for any purpose related to the Referral Program or the ToYou’s business.

7. Governing Law and Jurisdiction

7.1 These Referral Terms (including any non-contractual obligations arising out of or in connection with or relating to these Referral Terms) shall be exclusively governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia.

7.2 Any dispute arising out of or in connection with these Referral Terms (including a dispute relating to any non-contractual obligations arising out of or in connection with or relating to these Referral Terms) shall be resolved amicably through amicable negotiation. If the dispute cannot be settled amicably within sixty (60) days from the date on which either has served written notice on the other of the dispute, Referred User and ToYou have agreed that any dispute arising out of or in connection with or relating to Referral Program or these Referral Terms (including those relating to its validity, its construction or its enforceability) shall be first mandatorily submitted to mediation proceedings under the Saudi Center for Commercial Arbitration (“Center”).

7.3 If such dispute has not been settled within sixty (60) days after a request for mediation has been submitted to the Center, Referred User and ToYou have agreed to refer such dispute to and shall be exclusively and finally resolved by arbitration under the Center rules of arbitration. Referred User and ToYou have agreed that the dispute shall be resolved by one (1) arbitrator to be appointed in accordance with the Center rules, and the place of both mediation and arbitration shall be Riyadh, Saudi Arabia, and the language of the mediation and/or arbitration shall be Arabic.

7.4 Referred User and ToYou have agreed that the existence and content of the mediation and arbitration proceedings, including documents and briefs submitted by the parties, correspondence from and to the Center, correspondence from the mediator, and correspondence, orders and awards issued by the sole arbitrator, shall remain strictly confidential and shall not be disclosed to any third party without the express written consent from the other party unless: (i) the disclosure to the third party is reasonably required in the context of conducting the mediation or arbitration proceedings; and (ii) the third party agrees unconditionally in writing to be bound by the confidentiality obligation stipulated herein.
